Terms of Service

These Terms of Service govern your use of the website and services provided by Mulberry Advertising (Private) Limited, trading as Mulberry Digital ("we", "us", "our"). By accessing this website or engaging our services, you agree to these terms.

1. Services

We provide custom software development, mobile and web application development, UI/UX design, quality assurance and testing, and ongoing maintenance and support. The precise scope, deliverables, timelines and fees for any engagement are set out in a separate written proposal or service agreement, which takes precedence over these terms where they conflict.

2. Quotations, fees and payment

  • Quotations are valid for 30 days unless stated otherwise.
  • Invoices are payable within the period stated on the invoice.
  • Work may be suspended on overdue accounts after written notice. Fees exclude applicable taxes unless stated.

3. Client responsibilities

You agree to provide accurate information, timely feedback, content and any access (accounts, systems, credentials) reasonably required for us to deliver the services. Delays in providing these may affect agreed timelines.

4. Intellectual property

Unless agreed otherwise in writing, ownership of custom deliverables transfers to you on full payment. We retain ownership of our pre-existing tools, frameworks, libraries and know-how, and grant you a non-exclusive licence to use them as embedded in the deliverables. Third-party and open-source components remain subject to their own licences.

5. Confidentiality

Each party will keep the other's confidential information secure and use it only for the purposes of the engagement, except where disclosure is required by law.

6. Warranties and support

We warrant that services are performed with reasonable skill and care. Defects reported within the warranty period stated in your agreement will be corrected at no charge. Services are otherwise provided on an "as is" basis to the fullest extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential loss, including loss of profit, revenue or data. Our total aggregate liability arising from an engagement is limited to the fees paid by you for that engagement in the twelve months preceding the claim.

8. Termination

Either party may terminate an engagement on written notice as set out in the applicable agreement. On termination you remain liable for work performed and costs committed up to the termination date.

9. Communications

Where you contact us via WhatsApp, email or telephone, you consent to us responding through the same channel for service-related communication. You may opt out of non-essential messages at any time.

10. Governing law

These terms are governed by the laws of Zimbabwe, and the parties submit to the non-exclusive jurisdiction of its courts.
